Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and LegalPoint, Inc. (“LegalPoint,” “we,” “us,” or “our”) governing your access to and use of the LegalPoint platform, including our website at legalpoint.io, web application, APIs, and all related services (collectively, the “Service”).
PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICE. BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.
1. Definitions
- “Organization” means the law firm, legal department, or other legal practice entity that subscribes to the Service.
- “Authorized User” means any individual granted access to the Service by an Organization, including Partners, Associates, Paralegals, and other staff.
- “Client Data” means all data, information, documents, files, communications, and other content that Users upload, enter, or transmit through the Service in the course of using the platform.
- “Portal User” means a client contact or insurance carrier representative granted limited access to the Service through the Client Portal or Carrier Portal.
- “Subscription” means the paid plan selected by the Organization, which determines the features, storage limits, and number of Authorized Users available.
2. Account Registration and Eligibility
2.1 Eligibility
The Service is intended for use by licensed attorneys, legal professionals, and authorized personnel of legal practice entities. By creating an account, you represent and warrant that you are at least 18 years old and have the legal authority to bind the Organization to these Terms.
2.2 Account Creation
To use the Service, you must create an account by providing accurate, current, and complete information. You may register using email and password, or through a supported OAuth provider (Google or Microsoft). You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
2.3 Account Security
You must immediately notify LegalPoint of any unauthorized use of your account or any other security breach. We implement security measures including password hashing (Argon2id), rate limiting, account lockout protections, and optional multi-factor authentication (MFA). You acknowledge that enabling MFA is strongly recommended, particularly for accounts with Partner or administrative roles.
3. Use of the Service
3.1 Permitted Use
Subject to these Terms and your Subscription, LegalPoint grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your Organization's internal legal practice management purposes.
3.2 Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Access or attempt to access another User's account, or data belonging to another Organization, without authorization.
- Circumvent, disable, or interfere with security features of the Service, including rate limiting, account lockout mechanisms, or multi-tenancy controls.
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service.
- Use automated scripts, bots, or other tools to access the Service in a manner that exceeds reasonable use or places undue burden on our infrastructure.
- Sublicense, resell, or redistribute access to the Service to any third party without our prior written consent.
- Upload or transmit viruses, malware, or other harmful code through the Service.
4. Client Data and Ownership
4.1 Your Data
You retain all ownership rights in your Client Data. LegalPoint does not claim any ownership interest in your Client Data. By using the Service, you grant LegalPoint a limited, non-exclusive license to host, store, process, and display your Client Data solely for the purpose of providing and improving the Service.
4.2 Data Segregation
The Service employs multi-tenancy architecture with organization-level data isolation. All queries and data access are scoped to your Organization. Users from one Organization cannot access data belonging to another Organization.
4.3 Privileged Information
LegalPoint acknowledges that Client Data may include information protected by attorney-client privilege, work product doctrine, or other applicable legal privileges. We do not access, review, or analyze the content of your legal files, case data, or client communications for any purpose other than providing the Service as directed by you. Our employees and contractors are bound by confidentiality obligations.
4.4 Data Export
You may export your Client Data at any time during your active Subscription. Upon termination of your Subscription, we will make your Client Data available for export for a period of thirty (30) days, after which it may be deleted in accordance with our data retention policies.
5. Subscription and Payment
5.1 Subscription Plans
The Service is offered under various subscription tiers (Solo, Firm, Enterprise) with different feature sets, user limits, and pricing. Details of current plans are available on our pricing page.
5.2 Free Trial
New Organizations may be eligible for a free trial period. At the end of the trial, you must select a paid Subscription to continue using the Service. If you do not subscribe, your access will be limited.
5.3 Billing
Subscription fees are billed in advance on a monthly or annual basis, as selected at the time of purchase. Payments are processed through Stripe. By providing payment information, you authorize us to charge the applicable fees to your designated payment method.
5.4 Cancellation and Refunds
You may cancel your Subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial billing periods, except as required by applicable law.
6. Service Availability and Support
6.1 Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our reasonable control.
6.2 Support
Support is available in accordance with your Subscription tier. We will use commercially reasonable efforts to respond to support requests within the timeframes specified for your plan.
7. Intellectual Property
7.1 Our Intellectual Property
The Service, including its design, code, features, documentation, trademarks (including LegalPoint, MalpracticeShield, ClearBilling, and ClientView), and all related intellectual property, is owned by LegalPoint or its licensors and is protected by copyright, trademark, and other intellectual property laws.
7.2 Feedback
If you provide suggestions, feature requests, or other feedback about the Service, you grant LegalPoint a perpetual, irrevocable, non-exclusive, royalty-free license to use, modify, and incorporate such feedback into the Service without any obligation to you.
8. Third-Party Services
The Service may integrate with or contain links to third-party services, including Google Workspace, Microsoft 365, Stripe, and LawPay. Your use of third-party services is governed by their respective terms and privacy policies. LegalPoint is not responsible for the content, privacy practices, or availability of third-party services.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
LegalPoint does not warrant that the Service will meet your specific requirements, that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.
LEGALPOINT IS A TECHNOLOGY PLATFORM AND DOES NOT PROVIDE LEGAL ADVICE. THE SERVICE IS A PRACTICE MANAGEMENT TOOL AND IS NOT A SUBSTITUTE FOR PROFESSIONAL LEGAL JUDGMENT. YOU ARE SOLELY RESPONSIBLE FOR YOUR LEGAL PRACTICE, CLIENT RELATIONSHIPS, AND COMPLIANCE WITH APPLICABLE RULES OF PROFESSIONAL CONDUCT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEGALPOINT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF LEGALPOINT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
LEGALPOINT'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOUR ORGANIZATION TO LEGALPOINT DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless LegalPoint and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any Client Data you upload or transmit through the Service.
12. Termination
12.1 Termination by You
You may terminate your account and these Terms at any time by canceling your Subscription and deleting your account through the account settings.
12.2 Termination by LegalPoint
We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach any provision of these Terms, if your payment is past due, or if we are required to do so by law.
12.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease. Sections 4.1 (Your Data), 7 (IP), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 14 (Governing Law) shall survive termination.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will provide at least thirty (30) days' advance notice by posting the updated Terms on this page and, where appropriate, by sending an email notification to the address associated with your account.
Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and cancel your Subscription.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
14.2 Dispute Resolution
Any dispute arising out of or relating to these Terms or the Service shall first be subject to good-faith negotiation between the parties for a period of thirty (30) days. If the dispute is not resolved through negotiation, either party may pursue resolution through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, or through litigation in the state or federal courts located in Delaware.
14.3 Class Action Waiver
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
15. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and LegalPoint regarding the Service.
- Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
- Force Majeure: LegalPoint shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, acts of government, pandemic, or internet service disruptions.
